SEC Announces Proposed Short Sale Disclosure Rule, Order Marking Requirement, and CAT Amendments and Reopens Comment Period for Proposed Rule 10c-1

The SEC has announced that it is proposing new Rule 13f-2 and related Form SHO pursuant to the Securities Exchange Act of 1934. Section 13(f)(2) of the Exchange Act was added by Section 929X of the Dodd-Frank Wall Street Reform and Consumer Protection Act. These changes would provide greater transparency to investors and regulators through increasing the public availability of short sale related data by requiring certain institutional investment managers to report short sale related information. The SEC then would release aggregate data about large short positions, including daily short sale activity data, to the public for each individual security. SEC Announces Temporary Pause to EDGAR Beta Access for EDGAR Next Beginning March 1

The EDGAR Business Office (EBO) has announced that on March 1, 2022, it will temporarily suspend the use of the EDGAR beta environment (EDGAR Beta) for testing of EDGAR Next code and to deploy code for other testing purposes. At a future date, the EBO will announce the re-deployment of EDGAR Next code in EDGAR Beta to allow filers to test possible future EDGAR Next technical changes.

SEC Advises on Filing Agent/Filer Software Adjustment for Upcoming EDGAR Change

The SEC has announced that on or about April 4th, it will introduce a change to the EDGAR filing websites (EDGAR Link Online and Online Forms) that will affect the way certain third-party software may communicate with these websites. EDGAR will develop a unique parameter that some third-party software products may need to include in each request that enters/updates data. EDGAR will both verify the existence and validity of the parameter in filers’ requests and end user sessions if the value of the parameter is missing or mismatched. FASB Publishes Proposed Revisions to Future Taxonomy Related to Proposed ASU on Liabilities - Supplier Finance Programs

In December 2021, the FASB released a proposed update to the US Generally Accepted Accounting Principles (GAAP) Financial Reporting Taxonomy (US GAAP GRT) related to a Proposed Accounting Standards Update (ASU) on Liabilities - Supplier Finance Programs (Subtopic 405-50). SEC Revises Notification for EDGAR Cipher Update

As a reminder, the SEC is updating the ciphers it supports in its Transport Layer Security (TLS) cryptographic protocol on Monday, January 17, 2022. The upcoming upgrade was previously announced on August 25, 2021 and October 27, 2021.

SEC Releases Taxonomy Compatibility for Newly Required Auditor Tags in the 2021Q4 DEI Taxonomy

The SEC previously announced that the 2021Q4 version of the Document and Entity Information (DEI) taxonomy, which includes the newly added elements for tagging auditor information required in Release No. 93701, is compatible only with the 2021 versions of other taxonomies. If a filer attempts to use the 2021Q4 version of the DEI taxonomy with the 2020 version of another taxonomy in the same filing, the filing will be suspended. SEC Provides Update on Its Request for Comment on Potential Technical Changes to EDGAR

In September 2021, the SEC introduced a project entitled “EDGAR Next – Improving Filer Access and Account Management”, wherein the SEC proposed a rule that would implement potential technical changes to the way filers access the EDGAR System to make submissions and how filers manage individuals who make submissions on their behalf. After a first round of feedback from stakeholders within the community, the SEC is now seeking further input in undertaking these technical changes. SEC Releases 2021Q4 XBRL Taxonomies Update

On December 20th, the SEC updated the EDGAR system to Release 21.4. The system now supports the 2021Q4 versions of the taxonomies listed below. With this release, the Closed-End Fund (CEF) taxonomy will be accepted in EDGAR for the first time, and the Document and Entity Information (DEI) taxonomy has been updated to include elements for tagging auditor information. FASB Proposes Updates for Future Taxonomy Related to Proposed ASU on Troubled Debt Restructurings and Vintage Disclosures

On November 23, FASB issued proposed updates to the U.S. Generally Accepted Accounting Principles (GAAP) Financial Reporting Taxonomy concerning the Proposed Accounting Standards Update (ASU) on Financial Instruments—Credit Losses (Topic 326): Troubled Debt Restructurings and Vintage Disclosures. SEC Revises EDGAR Cipher Update Notification

Filers who use third-party custom software solutions to connect to EDGAR were notified that, on November 30th, the SEC would update the ciphers it supports in its Transport Layer Security (TLS) cryptographic protocol. The update will now occur on January 17, 2022. GoFiler Release 5.10b Includes Beta Testing for Form 24F-2

The latest release (5.10b) of the GoFiler family of products includes a beta version of the new view for Form 24F-2 for editing Form 24F-2NT as XML. During the beta testing period, filers will be able to create a new submission Form Type 24F-2 and perform basic editing operations. Support for the Save and Open functions has also been added in the release. The Form 24F-2 is expected to be fully operational in time for the December release of GoFiler. SEC Proposes Amendments to Form N-PX

The SEC has proposed revisions to Form N-PX to broaden the form’s scope and make it easier and more efficient for investors to get vital information from mutual funds, exchange-traded funds, and other funds that report about their proxy votes. Funds have been required since 2003 to file Form N-PX reports to disclose their voting practices for proxy proposals concerning their investments. However, funds may be inconsistent in the way in which they disclose information about their votes, or they may use a format that is not machine readable, which can make it sometimes difficult for investors to analyze reported data. The rule would render funds’ proxy voting records more usable and easier to analyze.
